Terms of Service

The service

DexHQ brings inventory, purchasing, orders, marketing, and royalty data into a single system and computes operational outputs from it — including stock positions, reorder recommendations, and performance reporting. What is included in your access depends on the plan or programme you have been admitted to.

Beta status

DexHQ is currently offered as a private beta. Beta access is provided so that we can learn how the product performs in real businesses, and it comes with real limitations: features may change or be withdrawn, interfaces may be reworked, and defects are expected. We may end the beta programme, or an individual participant's access to it, at any time.

Because of that, DexHQ's outputs should be treated as decision support rather than as an authoritative record. You remain responsible for the purchasing, inventory, financial, and operational decisions you make, and for verifying anything material before you act on it.

Your account

You are responsible for the accuracy of the information you give us, for keeping your credentials secure, and for the activity that happens under your account. Tell us promptly at info@nerdgear.gg if you believe an account has been compromised.

If you connect third-party services to DexHQ, you confirm that you are authorised to grant that access and to have the resulting data processed by us on your behalf.

Your data

The business data you enter or connect remains yours. We process it to provide the service to you, as described in our Privacy Policy, and we claim no ownership over it. We do not use it to build products for anyone else.

You can ask us for an export of your data, or for its deletion, at any time.

Acceptable use

• Do not use DexHQ unlawfully, or to store or process data you have no right to.
• Do not attempt to access another organisation's data, or to circumvent access controls.
• Do not probe, load-test, scrape, or reverse engineer the service without our written permission.
• Do not resell or provide the service to a third party unless we have agreed to it in writing.

Intellectual property

DexHQ, including the software, interface, documentation, brand, and the DexHQ name and marks, belongs to Nerd Gear Gaming Inc. These terms grant you a limited, non-exclusive, non-transferable right to use the service for your own business while your access is active, and nothing more.

If you send us feedback or suggestions, we may use them to improve the product without obligation to you.

Availability

We aim to keep DexHQ available and correct, but during the beta we offer no uptime commitment or service level guarantee. We may suspend access for maintenance, security, or to protect the integrity of the service, and we will give notice where it is reasonable to do so.

Third-party services

DexHQ connects to services operated by others. Those services have their own terms, their own availability, and their own failure modes. We are not responsible for a third party's acts or omissions, for changes they make to their interfaces, or for data they provide to us in error.

Disclaimer and limitation of liability

To the maximum extent permitted by law, DexHQ is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost or corrupted data. Our total aggregate liability arising out of or relating to the service is limited to the amounts you paid us for the service in the twelve months before the event giving rise to the claim, or one hundred Canadian dollars if you paid us nothing.

Nothing in these terms limits liability that cannot lawfully be limited.

Termination

You may stop using DexHQ and close your account at any time. We may suspend or terminate access if these terms are breached, if required by law, or on reasonable notice if we discontinue the service or the beta programme. On termination you may request an export of your data for a reasonable period before it is deleted.

Changes

We may update these terms as the product and the business develop. The effective date above will change, and for material revisions we will make reasonable efforts to notify account holders. Continued use after a change means you accept the revised terms.

Governing law

These terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, and the courts of Alberta have exclusive jurisdiction, without regard to conflict of laws rules.
